By purchasing, ordering, or using our services, you (“Client”, “you”, “your”) agree to these Terms.
1. Definitions
- Services: Website design and development services delivered by us, including the Deliverables described in the Package Description and Order Confirmation.
- Deliverables: The outputs we provide (e.g., website pages, layouts, builds, configuration).
- Package: A fixed-scope offering described on our website and confirmed in the Order Confirmation.
- Order Confirmation: Our written confirmation of your purchase (email, invoice, or checkout confirmation), which forms part of the contract.
- Client Materials: All content and assets you provide (copy, images, logos, brand guidelines, credentials, product data, legal text, etc.).
- Third-Party Services: Any third-party platforms, plugins, apps, hosting, domains, payment providers, analytics, CRMs, themes, fonts, or integrations (e.g., WordPress, Shopify).
- Business Day: Any day other than a Saturday, Sunday, or public holiday in Estonia.
2. Scope and packages
2.1 Fixed scope. We provide Services according to the Package selected and the Deliverables explicitly listed in your Order Confirmation (“Included Scope”).
2.2 Out of scope. Anything not explicitly included in the selected package is out of scope. Out of scope requests require a separate quote and may require a new order or add-on purchase.
2.3 No guarantee of specific outcomes. We do not guarantee any particular results (e.g., rankings, traffic, leads, sales, conversion rates). Outcomes depend on many factors outside our control.
3. Ordering, start, and access
3.1 Order acceptance. A contract is formed when we accept your order and/or payment is received, unless we notify you that we cannot accept the order.
3.2 Project start. Work begins when we confirm your project start and/or when we begin any work activities (including planning, research, design, configuration, or setup).
3.3 Client responsibilities. You must provide, on request:
- access to your hosting, domain registrar, WordPress admin, Shopify admin, and any relevant Third-Party Services;
- all Client Materials (copy/images) you want included;
- timely approvals and feedback.
3.4 Delays caused by Client. If you delay providing access, materials, or feedback, we may pause work and adjust the delivery schedule accordingly. We are not responsible for delays caused by you or Third-Party Services.
4. Fees, payment, and taxes
4.1 Full payment upfront. All Packages are payable in full before work starts, unless we agree otherwise in writing.
4.2 Taxes. Prices shown may be exclusive of VAT or other taxes unless stated. Where applicable, VAT will be added according to Estonian/EU rules.
4.3 Chargebacks and payment disputes. If you initiate a chargeback or payment dispute, we may suspend work and withhold Deliverables until the dispute is resolved. You remain liable for fees properly due.
5. Refund policy
5.1 Refund before work starts. If you request cancellation before work starts, we will refund the fees paid (less any non-refundable payment processor fees where applicable).
5.2 No refund after work starts. Once work has started, all fees are non-refundable, except where mandatory consumer laws apply.
5.3 Consumer rights. If you are a consumer in the EU/EEA, mandatory withdrawal/cooling-off rights may apply. If you request immediate performance of Services and acknowledge that you may lose the right to withdraw once performance begins, this may affect your withdrawal rights.
6. Revisions and approvals
6.1 Revision rounds. Revision rounds are included as follows (unless the Order Confirmation states otherwise):
- Launch Page: 1 revision round
- Launch Website: 2 revision rounds
- Launch + Scale: 3 revision rounds and priority revisions (see 6.3)
6.2 Definition. A “revision round” means a consolidated set of feedback submitted at one time. Fragmented feedback may be treated as multiple rounds.
6.3 Priority revisions. “Priority revisions” means your revision requests are placed ahead of non-priority work, subject to availability, and within the Included Scope. It does not mean unlimited changes, unlimited time, or changes outside scope.
6.4 Out-of-scope changes. Additional pages, major structural changes, new features, new integrations, or changes outside the Included Scope require a separate quote.
7. Third-party services, licenses, and subscriptions
7.1 Third-party dependencies. Deliverables may rely on Third-Party Services (WordPress, Shopify, plugins, themes, CRMs, analytics, etc.). You acknowledge that we do not control these services and are not responsible for their outages, changes, security issues, pricing, or terms.
7.2 Subscriptions and ongoing costs. The service fee includes the work to set up what is listed in scope. Any ongoing subscription costs (hosting, premium plugins, apps, themes, email services, CRM subscriptions, Shopify plan fees, etc.) are your responsibility from handover onward (and earlier if required to complete the build).
7.3 Licensing. Where Deliverables require licenses, you agree to purchase/maintain them as needed or reimburse us if we purchase them with your approval.
8. Launch, handover, and post-launch support
8.1 Launch readiness. We will prepare your website for launch based on the Included Scope and Client Materials provided. You are responsible for confirming final content accuracy (including legal compliance, claims, pricing, and policies) before launch.
8.2 Handover. On completion, we will hand over access and/or complete deployment to your hosting/platform environment.
8.3 Support window. All Packages include 14 days of post-launch support, starting from the launch date or handover date (whichever comes first).
8.4 Support scope. Post-launch support covers bug fixes and minor adjustments within scope (e.g., small content changes, minor layout issues). It excludes new pages, new functionality, new integrations, redesigns, or work caused by third-party changes, except at our discretion.
8.5 Support requests. Support is provided asynchronously via email unless agreed otherwise.
9. Intellectual property and ownership
9.1 Client Materials. You retain ownership of Client Materials and grant us a non-exclusive license to use them to perform the Services. You represent that you have rights to use all Client Materials.
9.2 Ownership transfer. Upon full payment, you receive ownership of the final Deliverables created specifically for you, except for:
- our pre-existing tools, templates, components, frameworks, know-how, and reusable code (“Background IP”);
- third-party software and materials subject to their own licenses.
9.3 License to Background IP. We grant you a non-exclusive license to use our Background IP solely as incorporated into the Deliverables for operating your website.
9.4 No portfolio use. We will not publish or showcase your project in our portfolio or marketing without your prior written consent.
10. Confidentiality
Each party may receive confidential information from the other. Both parties agree to keep such information confidential and to use it only for performing or receiving Services, except as required by law.
11. Warranties and disclaimers
11.1 Professional services. We will provide Services with reasonable care and skill.
11.2 No other warranties. Except as expressly stated, Services and Deliverables are provided “as is”. We disclaim all warranties to the maximum extent permitted by law, including implied warranties of fitness, merchantability, and non-infringement.
11.3 Security and compliance. You are responsible for your website’s legal compliance (privacy policy, cookies, terms, accessibility, sector regulations). We do not provide legal compliance advice unless agreed in writing.
12. Limitation of liability
12.1 Liability cap. To the maximum extent permitted by law, our total liability arising out of or related to the Services is limited to the fees paid by you for the specific Package giving rise to the claim.
12.2 Excluded losses. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities.
12.3 Third-party services. We are not liable for Third-Party Services failures, outages, changes, or losses arising from them.
12.4 Mandatory consumer law. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Termination and suspension
13.1 Termination by Client. You may cancel before work starts as per Section 5. After work starts, termination does not entitle you to a refund, except where mandatory consumer law applies.
13.2 Termination by us. We may terminate or suspend Services if you materially breach these Terms (including non-payment, non-cooperation, abusive behavior, or unlawful content), after giving reasonable notice where practical.
13.3 Effect of termination. Upon termination, you remain responsible for fees due for work performed and any approved third-party costs.
14. Consumer-specific terms (B2C)
If you are acting as a consumer, additional mandatory rights under EU/EEA consumer law may apply and override parts of these Terms. Where required, we will provide consumer disclosures at checkout (including withdrawal rights and digital service commencement acknowledgements).
15. Governing law and disputes
15.1 Governing law. These Terms are governed by the laws of Estonia.
15.2 Jurisdiction. Disputes shall be subject to the exclusive jurisdiction of the courts of Estonia, unless mandatory consumer protection rules require otherwise.
15.3 Good-faith resolution. Before filing a claim, both parties agree to attempt to resolve disputes in good faith via written notice and discussion.
16. Notices
Notices must be sent to support@websitelaunchagency.com and to the email address used for purchase (or other address notified in writing).
17. Miscellaneous
- Entire agreement. These Terms and the Order Confirmation form the entire agreement.
- Severability. If a clause is unenforceable, the rest remains in force.
- Assignment. You may not assign this agreement without our written consent; we may assign in connection with a sale or reorganisation.
- Updates. We may update these Terms from time to time. Updates apply to new orders; existing orders remain governed by the Terms in force at purchase unless required by law.
